By signing up for, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Services, including clients, visitors, and others who access the Services.
2. Description of Services
Strategic Workflows provides AI-powered business automation services, including:
- Website design and development
- AI voice receptionist systems
- Automated lead follow-up systems
- Google Business Profile optimization
- Lead tracking and CRM solutions
- Custom automation consulting
We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements.
4. Account Registration and Security
To access certain Services, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
5. Pricing and Payment
5.1 Service Plans
We offer two primary service plans:
- Monthly Subscription: Billed monthly at the agreed rate with a 12-month minimum commitment. After 12 months, service continues on a month-to-month basis.
- One-Time Payment: Single upfront payment for ownership of all deliverables.
5.2 Payment Terms
- Monthly subscriptions are billed in advance on the anniversary date of your signup
- One-time payments are due before project commencement
- All fees are non-refundable except as expressly stated in our 30-Day Satisfaction Guarantee
- Prices are subject to change with 30 days' notice for existing customers
- Late payments may result in service suspension or termination
5.3 Ongoing Costs
Certain services incur ongoing third-party costs:
- Monthly Subscription: Includes hosting and up to 100 minutes of voice usage per month. Additional voice minutes are billed at $0.12 per minute.
- One-Time Payment: You are responsible for all ongoing hosting and voice usage costs, typically $10-30/month depending on usage.
6. Service Delivery and Timelines
We aim to launch your Smart Business System within 7-14 days of your discovery call, subject to:
- Timely provision of required information and assets from you
- Scheduling availability for discovery and review calls
- Scope remaining within standard deliverables
Delays caused by your unavailability or failure to provide required materials will extend the delivery timeline accordingly.
7. 30-Day Satisfaction Guarantee
We stand behind the quality of our work. If you are not satisfied with your Smart Business System within 30 days of launch, we will:
- Work with you to address your concerns and make necessary adjustments, OR
- Provide a full refund of fees paid (excluding any third-party costs already incurred)
To request a refund, you must contact us within 30 days of your system launch date. This guarantee does not apply to custom automation projects, which are quoted and scoped individually.
8. Cancellation and Termination
8.1 Monthly Subscriptions
- Requires 12-month minimum commitment
- After 12 months, you may cancel with 30 days' written notice
- Cancellation takes effect at the end of the current billing period
- No refunds for partial months
8.2 Termination by Us
We may suspend or terminate your access to Services if:
- You violate these Terms
- Payment is not received within 15 days of the due date
- You engage in fraudulent or illegal activity
- Your use of Services negatively impacts our systems or other users
9. Intellectual Property Rights
9.1 Our Intellectual Property
Strategic Workflows retains all rights, title, and interest in:
- Our proprietary methodologies, processes, and frameworks
- Template systems and reusable components
- Our brand, trademarks, and trade dress
9.2 Your Intellectual Property
You retain ownership of:
- Your business name, trademarks, and branding
- Content you provide (text, images, logos)
- Business-specific information and data
9.3 Work Product Ownership
- Monthly Subscription: We retain ownership of all work product. You receive a license to use the deliverables for your business purposes for the duration of your subscription.
- One-Time Payment: Upon full payment, you receive full ownership of all custom work product created specifically for you, excluding our reusable templates and frameworks.
10. Prohibited Uses
You agree not to:
- Use our Services for any illegal purpose or in violation of any laws
- Violate or infringe upon the rights of others
- Distribute viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our Services or servers
- Impersonate any person or entity
- Resell or redistribute our Services without written permission
- Reverse engineer or attempt to extract source code from our Services
11. Disclaimers and Limitations of Liability
11.1 Service Disclaimer
Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not guarantee that:
- Services will be uninterrupted, error-free, or completely secure
- Results obtained from using our Services will be accurate or reliable
- Any specific business results or outcomes will be achieved
11.2 Third-Party Services
Our Services may integrate with or rely on third-party services (e.g., AI providers, hosting platforms, communication services). We are not responsible for:
- The availability, performance, or functionality of third-party services
- Changes to third-party pricing, terms, or features
- Data security or privacy practices of third-party providers
11.3 Limitation of Liability
To the maximum extent permitted by law, Strategic Workflows shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from your use or inability to use the Services
Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Strategic Workflows and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of any rights of another party
- Content you provide to us
13. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship, including:
- Business strategies, processes, and methodologies
- Financial information
- Customer lists and data
- Technical implementations and configurations
This obligation survives the termination of our agreement.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Updating the "Last Updated" date
- Sending an email notification to your registered email address (for material changes)
Your continued use of our Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using our Services.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, United States, without regard to its conflict of law provisions.
Any dispute arising from these Terms or our Services shall be resolved through:
- Good Faith Negotiation: Both parties agree to attempt to resolve disputes through direct discussion first.
- Mediation: If negotiation fails, disputes shall be submitted to mediation before pursuing litigation.
- Venue: Any legal action shall be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements you enter into with Strategic Workflows, constitute the entire agreement between you and us regarding your use of our Services and supersede all prior agreements and understandings.
18. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
19. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Strategic Workflows.
